# TapTap Creator Terms of Services

Welcome to TapTap Creartor Center!
TapTap ("We") hopes to help outstanding creators develop their talent, so that more high-quality content can achieve greater value on the TapTap platform. Meanwhile, we know that the efforts of both creators ("You") and TapTap are needed to maintain the ecological health of and create a good atmosphere in the community. Therefore, TapTap Creators Terms of Service ("Tems") has been created for compliance by both TapTap and all creators. Restrictions, disclaimers or other provisions with regard to your major rights and interests are made in bold for your attention.
Carefully read and fully understand this Terms; otherwise, you will not be able to use the TapTap Creators Service ("Service"). By using the TapTap Creator Service, it will be deemed that you have read and agreed to execute this Terms. This Terms shall come into force between you and TapTap and constitute a legal document binding upon both parties. If you do not accept this Terms, we will not be able to provide you with creator-related services.
You understand and agree that you are qualified in law to use this Service. If you are under the age of 18, carefully review this Terms with your guardian and use the TapTap Creator Center after obtaining the consent of your guardian.
# 1. Become a creator
1.1 Being committed to providing creators with diverse information and efficient operations services, TapTap introduces the TapTap Creator Center, aiming at providing one-stop services for creators. Once you become a creator, you can post content and participate in creator events through the Creator Center.
1.2 When applying to become a creator, you need to complete the real-name authentication and bind it to a real and valid mobile phone number for us to verify your eligibility and contact information. After the above-mentioned information you submit is approved by TapTap, you can become a creator. You understand and agree that the same real-name authentication information may only be used to be bound to one creator account.
1.3 Once you become a creator, you can manage your personal information (e.g. mobile phone number, WeChat account, Alipay account, etc.) by visiting the "Modify" page of the Creator Center.
1.4 The Creator Center provides MCN institutions and creators with the creator signing function. You can choose whether to accept the “Creator Signing Confirmation Letter” from the MCN institutions you have joined. If you accept the invitation, you will confirm the binding of the MCN organization. However, please be aware that Each creator can only be bound to one MCN institution at the same time. If you wish to unbind from the bound MCN institution, please contact TapTap official customer service for assistance.
# 2. Contribution and Benefits
2.1 Creator Program
2.1.1 The Creator Program is a plan launched by TapTap to evaluate the creator-contributed content and provide benefits to creators in certain events.
2.1.2 You can participate in all events of the Creator Program, make and publish videos as required by the events in accordance with the rules of the platform. When contributing content, please ensure your access to the Internet and devices is stable to ensure smooth upload and release of your videos.
2.1.3 We will calculate your activity and traffic revenues based on the data such as your contributions, video playback volume and the total number of forwards, thumbs-up and the like during the activity. You can view your video data at any time so that you can better understand how active you are in creating content. We will also launch more high-quality creator events for you based on how well you create content.
2.1.4 You can choose to delete your published videos so that you can better manage your creative content, but if you delete your submitted video works before the results of the event are publicized, we will deduct the corresponding earnings made from the videos.
2.1.5 Please be aware that by joining the Creator Program, you are applying to become a creator on TapTap as well. Your decision to join the program or not may affect your access to other services or features of the Creator Center. Interpretation of the Creator Program shall belong to TapTap.
2.2 Off-site incentive program
2.2.1 The off-site incentive program is introduced by TapTap to play and commercially use on off-site third-party platforms the quality content you have created and to provide corresponding revenue. You may choose to participate in the program so as to expand your influence, maximize the exposure of your quality content, as well as gain more revenue.
2.2.2 You understand and agree that TapTap can independently choose the creative content suitable for playing on off-site third-party platforms based on your comprehensive performance, the quality of your creative content, the playback data, etc., and comprehensively calculate your revenue based on the factors such as the level of users’ likability and video views on off-site third-party platforms.
2.2.3 You can choose to delete your creative content or withdraw from the off-site incentive program. After deletion or withdrawal, the content deleted or all of your creative content will no longer be played on the off-site third-party platforms.
2.3 Revenue from your creative content
2.3.1 The revenue from your creative content includes the activity revenue and traffic revenue gained through your participating in the above program, and the traffic revenue generated from all the videos you have published on the TapTap platform. The revenue mentioned above is subject to the statistical data of the TapTap platform.
2.3.2 The revenue from your creative content will be settled according to the rules of the TapTap platform. You may view the revenue brought to you from your creative content on “Revenue Data” page. Please be aware that the revenue amount that we show you is the pre-tax revenue, which may be different from the amount actually posted to the account (such as the case of withholding income tax).
2.3.3 You can receive your revenue through Alipay. Therefore, you need to provide us the Alipay account number that matches the real-name information authenticated by TapTap. Please be aware that only when the revenue balance under your account is no less than RMB 100, can you apply to receive your corresponding revenue through Alipay account, and that if you are bound to an MCN institution, please settle the revenue with the institution you are bound to.
# 3. Code of Conduct
3.1 Please understand that all actions under your account (such as posting content, obtaining revenues, etc.) shall be regarded as your own, so you shall keep your account and password in good custody and be liable for all acts thereunder. If your account is used without your authorization, please notify us immediately to avoid further losses.
3.2 You shall abide by the principle of good faith, and shall not, on your own or instigate others, to use improper means to obtain creative benefits, including but not limited to tampering with platform data, falsifying the number of broadcasts, falsifying the number of comments, or falsifying the number of fans. Otherwise, once found, we will cancel the irregular data and the corresponding creation earnings.
3.3 Your content shall not promote other game distribution platforms or video service providers, etc., nor display information on other game distribution platforms or video service providers, etc. (including but not limited to watermarks, QR codes, oral broadcast, etc.).
3.4 You understand and agree that you shall keep all materials and information that you come into contact with that are not disclosed to third parties confidential. Without the written consent of TapTap or the rights holder, the above-mentioned materials and information shall not be used for purposes other than the purpose of this Agreement, and shall not be disclosed or revealed to any other person. The above confidentiality obligations shall not become invalid due to the rescission, termination or cancellation of the Agreement.
3.5 You shall consciously abide by the “seven bottom lines” requirements of laws and regulations, the socialist system, national interests, legitimate rights and interests of citizens, social public order, morality and authenticity of information, and abide by the platform rules such as “TapTap Service Agreement”, “TapTap Community Management Regulations”, “TapTap Video Upload Service Guidelines”. Otherwise, once discovered, you shall bear all legal consequences and platform processing decisions caused by your own posting behavior or improper information.
# 4. Violation Handling
4.1 In the event that you violate relevant laws and regulations or the provisions herein, TapTap shall have the right to make independent judgments, and take measures accordingly as the case may be, including but not limited to deleting, blocking, disconnecting links, deducting the revenue generated through your creative content, requesting return of the revenue generated through your creative content, cancelling your participation qualifications, suspending or terminating all or part of the services, closing your account, etc., and to reserve the right to hold you legally liable. Please be aware that you may not receive any revenue from any data generated through your creative content during the handling of your violations, and that your violations may make it impossible for you to receive the revenue already generated through your creative content.
We will not be liable for your failure to use your account or services (e.g. to modify your personal information, manage your content, obtain assets or other rights and interests in the account, etc.) arising from such restriction, suspension or termination, etc.
4.2 If you find that the TapTap platform contains content that infringes upon your rights and interests, you can notify us in the manner mentioned in the Guidelines for Evaluation and Community Complaints and provide written supporting materials, and we will handle your complaint in a timely manner. If you receive an infringement-related complaint regarding the content you have published on the TapTap platform but you do not recognize such complaint, you shall contact us in the manner mentioned in the Guidelines for Counter-Notification of Infringement Complaints upon receiving the complaint we forward, and provide us with written supporting materials. We will respond to your appeal in a timely manner.
4.3 In order to comply with the local laws and regulations, maintain the public order and good customs, and protect others' legal rights and interests, we will make our best efforts to judge the content you have posted based on complaints or notifications, only within our capability. We cannot guarantee that our judgments are completely consistent with that of the local judicial and regulatory authorities, and you have understood and agreed to bear the consequences arising therefrom.
4.4 If you have violated laws, regulations or this Terms and caused any third party to claim any rights or losses, you shall handle and be liable for such claim solely on your own; if TapTap suffers losses as a result, you shall also compensate TapTap (including without limitation for property damages, reputation damages, legal fees, attorney fees, notarization fees, and other reasonable expenses).
# 5. Intellectual Property Rights
5.1 You understand and represent that the content you upload and publish on the TapTap platform (including without limitation texts, videos, audio and their components, e.g. music, sound, lines, visual design, etc.) is produced by yourself, or you have the required licenses (including sub-licenses) for such content. If there is any objection to the ownership of their intellectual property rights, you shall provide us with the pertinent license. If the content you upload or publish is in infringement and causes losses to TapTap, we reserve the right to hold you responsible for such infringement and losses in accordance with the law.
5.2 The intellectual property rights in or to the content you upload and publish on the TapTap platform shall belong to you or the original owner. To better share and promote your works, and increase their value and influence, you agree to grant us worldwide, free-of-charge, non-exclusive, sub-licensable (level by level) rights (including but not limited to rights of reproduction, translation, compilation, communication, adaptation, performance, display and production of derivative works, etc.) to and in the content you upload and publish on the TapTap platform (including without limitation texts, videos, audio and their components, e.g. music, sound, lines, visual design, etc.) including without limitation through websites, software, mobile terminals or other forms of products and applications. The said rights granted to TapTap shall not change the ownership of such content and the intellectual property rights therein or thereto.
5.3 For clarity, you understand and agree that the rights granted above include the rights and licenses to use personal images, portraits, names, trademarks, service marks, brands, logos and company marks (if any) and any other branded, marketed or promoted assets or materials, etc. you own or are permitted to use and that are embedded in your content.
5.4 You confirm and agree to authorize us to act in the name of TapTap or to entrust a third party to act against any infringement upon the content you have uploaded and released and in or to which you own intellectual property rights. The said actions include but are not limited to monitoring infringements, sending a notice of claim, and filing a lawsuit or arbitration, mediation and reconciliation. TapTap has the right to make decisions on such actions and take such actions at its own discretion.
# 6. Safety Responsibility
6.1 Please understand that when you use this Service, force majeure or other risks ("force majeure" refers to an event that cannot be foreseen, overcome or avoided and has significant effects on a party or both parties hereto, including without limitation natural disasters, e.g. flood, earthquake, epidemic and storm, and social incidents, e.g. war, riot, government action, etc.) may occur. In the event of a force majeure, we will try our best to assist in making repairs immediately, but we shall not be liable for the losses caused to you other than those stipulated by law.
6.2 You understand and agree that in order to create a healthy environment on the internet, we must formally review the compliance of your videos with laws and regulations. Only eligible videos are subject to our evaluation and your revenue. However, our formal review of videos shall not constitute our responsibility for their authenticity and legality. Even if they have passed our review, we have the right to delete, block, or disconnect such videos according to laws, regulations or this Terms. Moreover, such rights shall not constitute our obligations or commitments; we cannot guarantee that violations of laws or regulations will be detected or handled immediately.
6.3 We will do our best to provide you with secure creator services, but due to such objective factors as technical and network conditions, we cannot guarantee that our service will meet all your requirements. For example, we are not liable for any deletion or storage failure of related data, not can we guarantee the timeliness, accuracy or stability of network services.
6.4 You understand and agree that, from time to time, we need to maintain or repair related systems or equipment that provide network service. If such activity causes network services to be interrupted for a reasonable duration, we will not take any responsibility.
6.5 Please be aware that if you stop using this Service by canceling your account, or if the Service is terminated or canceled due to circumstances, policies or other reasons, we are unable to return or provide any relevant data to you. Therefore, we recommend that you back up your content published on the TapTap platform from time to time.
6.6 Unless otherwise provided for by law, we shall not be responsible for the authenticity, applicability and legality of any third-party information, nor for damages caused to you by others' infringements.
6.7 The importance to the security of your personal information is important to us, and we will take reasonable measures to protect your personal information in accordance with the TapTap Privacy Policy (opens new window).
# 7. Miscellaneous
7.1 To provide you with better services, or due to any change in laws, regulations, regulatory policies, technical conditions, or product functions, etc., we may revise this Terms from time to time. Any revision, once published, will supersede the original Terms. Meanwhile, we will remind creators in a manner (including without limitation by message, email, in-site notice or website announcement, etc.) of the latest revision of this Terms. If you disagree with the revision, please stop using the Service immediately; your continued use of the Service shall constitute your consent to the revision.
7.2 This Terms is integral to the TapTap Terms of Service (opens new window). For the matters uncovered herein, the TapTap Terms of Service (opens new window) shall prevail. 5.4 Other agreements and rules, etc. issued in respect of this Terms from time to time shall be incorporated into this Terms, which, once issued, shall be integral to this Terms and observed by you. If you disagree with the above, please stop using the Service immediately; your continued use of the Service shall constitute your consent to the above.
7.3 The execution, effectiveness, performance, interpretation of and dispute resolution under this Terms shall be governed by the laws of mainland China (excluding conflict of law). If there is any dispute between you and TapTap, it shall be settled first through friendly negotiation; if such negotiation fails, you agree to submit the dispute to Shanghai International Arbitration Centre for arbitration according to its rules of arbitration. The award of arbitration shall be final and binding upon both parties. All expenses related to arbitration (including but not limited to acceptance fees, processing fees, appraisal fees, notarization fees and attorney fees, etc.) arising from arbitration shall be borne by the losing party.
7.4 The headings of all articles herein are for convenience only, and cannot be used to interpret this Terms. If any provision of this Terms is held partially invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect and binding upon both parties.
